Terms & Conditions

Article 1. Applicability 1.1 All offers, orders and agreements of RP Tools are subject to these General Conditions.


1.2 Acceptance of an offer or placing an order implies that you accept the applicability of these Conditions.


1.3 The provisions of these Conditions may only be waived in writing, in which case the other provisions remain in full force and effect.


1.4 All rights and claims stipulated in these Conditions and in any subsequent agreement for the benefit of RP Tools are also stipulated for the benefit of intermediaries and other third parties engaged by RP Tools.


Article 2. Offers/Agreements 2.1 All offers from RP Tools are without obligation and RP Tools expressly reserves the right to change prices, in particular if this is necessary due to (legal) requirements. See also Article 3.6.


2.2 An agreement is concluded only after acceptance of your order by RP Tools. RP Tools reserves the right to refuse orders or impose certain conditions on delivery, unless expressly provided otherwise. If an order is not accepted, RP Tools will inform the buyer within ten (10) working days of receipt of the order.


Article 3. Prices and payments 3.1 The prices indicated for the products and services offered are in euros, including VAT and excluding processing and shipping costs, possible taxes or other levies, unless otherwise indicated or agreed in writing.


3.2 Payment shall be made without deduction or set-off within fourteen (14) days of the invoice date for deliveries within the Netherlands, and within twenty-one (21) days of the invoice date for deliveries outside the Netherlands, unless otherwise agreed in writing.


3.3 Payment can be made by bank transfer, prepayment or cash on delivery (cash on delivery). In case of payment by bank transfer or postal order, the payment date is the date of crediting RP Tools's postal or bank account. In case of payment by cash on delivery (cash on delivery), the invoice is signed and stamped by the company as proof of payment.


3.4 If the payment deadline is exceeded, you are in default from the day on which payment should have been made and you owe late payment interest of 1% per month or fraction of a month on the amount due from that day. If payment is made after a reminder from RP Tools, you must also pay an administrative fee of twenty-five euros (€ 25.00) and if RP Tools assigns its claim to a third party for collection, you also owe the collection costs, which amount to at least fifteen percent (15%) of the amount due, without prejudice to RP Tools's right to request the extrajudicial collection costs actually incurred instead.


3.5 In the event of default in payment, RP Tools is authorized to suspend (the execution of) the relevant contract and related contracts, or to terminate them.


3.6 If the prices of the products and services offered increase between the order and their execution, you have the right to cancel the order or terminate the contract within ten (10) days of notification of the price increase by RP Tools.


Article 4. Delivery 4.1 The delivery times indicated by RP Tools are given for information purposes only. Exceeding a delivery time does not entitle you to any damages, nor to the right to cancel your order or to terminate the contract, unless the exceeding of the delivery time is such that you cannot reasonably be expected to maintain the contract. In this case, you have the right to cancel the order or terminate the contract to the extent necessary.


4.2 Delivery of the products will be made to the place and time when the products are ready for dispatch.


Article 5. Retention of title 5.1 Ownership of the delivered products is only transferred when you have fully paid everything you owe to RP Tools under any agreement. The risk relating to the products is transferred to you upon delivery.


Article 6. Intellectual and industrial property rights 6.1 You must fully and unconditionally respect all intellectual and industrial property rights attached to the products delivered by RP Tools.


6.2 RP Tools does not guarantee that the products delivered do not infringe any (unwritten) intellectual and/or industrial property rights of third parties.


Article 7. Complaints and liability 7.1 You have the obligation to examine the products upon delivery to determine whether they correspond to the agreement. If this is not the case, you must inform RP Tools in writing/e-mail within seven (7) working days of delivery, or in any case as soon as the finding is reasonably possible.


7.2 If the products do not correspond to the agreement, RP Tools has the choice between replacing the products in question with new products or refunding their value, subject to the return of the products concerned.


7.3 If for any reason you do not wish to accept a product, you as an individual have the right to return it to RP Tools within seven (7) working days of delivery. Returns are accepted in this case only if the product packaging is intact, and the return costs are at your expense.


7.4 RP Tools strives as far as possible to deliver the product as it is depicted. The item depicted is purely for illustration purposes and may differ slightly in reality!


Article 8: Warranty

8.1 In the event that RP Tools delivers products to the buyer, RP Tools will never be obliged to a greater warranty towards the buyer than that which RP Tools can claim towards its supplier. Complaints for externally visible defects must be submitted in writing in accordance with the terms of the contract, but no later than 7 (seven) days after receipt of the goods by the customer. A period of 30 (thirty) days applies to consumers. Complaints received by RP Tools after the expiry of this period do not have to be processed by RP Tools.


8.2 RP Tools is not responsible for warranty related shipping costs.


8.3 RP Tools gives a standard 12 month warranty on parts!


Article 9. Orders/communication

9.1 RP Tools is not liable for misunderstandings, mutilations, delays or incorrect transmission of orders and notifications resulting from the use of the Internet or any other means of communication in traffic between you and RP Tools, or between RP Tools and third parties, insofar as this concerns the relationship between you and RP Tools, unless and to the extent that RP Tools has been deliberately or grossly at fault.


 


Article 10. Force Majeure

10.1 Without prejudice to its other rights, RP Tools shall be entitled, in the event of force majeure, to suspend the execution of your order or to terminate the contract without judicial intervention, by informing you in writing and without RP Tools being obliged to pay damages, unless this would be unacceptable according to the standards of reason and fairness in the given circumstances.


10.2 Force majeure is understood as any failure that cannot be attributed to RP Tools, because it is not due to its fault and is not due to the law, legal action or generally accepted opinions.


Article 11. Miscellaneous

11.1 If you provide RP Tools with an address in writing, RP Tools has the right to send all orders to that address, unless you provide RP Tools with another address in writing to which your orders should be sent.


11.2 Where RP Tools has authorised deviations from these Terms and Conditions for a short or long period, tacitly or not, this does not affect RP Tools's right to always demand direct and strict compliance with these Terms and Conditions. You may not in any case claim rights based on the fact that RP Tools applies these General Conditions leniently.


 


11.3 If one or more provisions of these Terms and Conditions or any other agreement with RP Tools conflict with any applicable legal regulation, the provision in question shall expire and be replaced by a new legally admissible comparable provision to be determined by RP Tools.


11.4 RP Tools is authorized to use third parties for the execution of your orders.


Article 12. Applicable law and competent court

12.1 Dutch law applies exclusively to all rights, obligations, offers, orders and agreements to which these General Terms and Conditions apply, as well as to these General Terms and Conditions.


12.2 All disputes between the parties shall be submitted exclusively to the competent court in the Netherlands.
